THE ROLE OF INVESTMENT BANKERS IN THE IPO PROCESSIssuing stock in order to raise capital should be a straightforward process in which a company determines how many shares it wants to issue, sells them to the public, and goes forward. However, the process is highly regulated, and, because companies want to obtain the highest value they can for their stock offering, specialists have developed in the field. Investment bankers are specialists who help companies go public. Investment bankers may agree to buy all of the shares at a given price and then resell them to the public, or the bankers may put together a syndicate of investors who will purchase the initial shares, or the bankers may simply facilitate the sale without making any guarantees to the amount of equity that will be raised. The investment bankers work with the company to ensure that the appropriate documentation is completed and filed with regulatory agencies, but perhaps more importantly, the bankers serve as consultants so that the company is as appealing as possible to potential investors.
