Ultimately, because business-to-business web sites cater to a different audience, and provide different services from their business-to-consumer counterparts, it is understood that the ethical, legal, and regulatory issues that face the two types of web sites will differ. This paper will outline the ways in which ethical, legal and regulatory considerations differ in the operation of a B2C site versus those considerations when operating in a B2B market.

In order to address the legal and ethical issues of electronic commerce it is important to define what is meant by legal and ethical. According to Turban and King in their book, "An Introduction to E-Commerce", Legal issues involve laws enacted by governments and developed through case precedents (common law). They are strict legal rules governing the acts of all citizens within their jurisdiction. On the other hand according to (Turban And King, 2003, pp732-766) "Ethics is a branch of philosophy that deals with what is considered to be right and wrong. Over the years, philosophers have proposed many ethical guidelines, yet what is unethical is not necessary illegal".

B2C sites specifically cater to a group or target consumer in order to expose, sell, or market goods or services to the public. Some good examples are Amazon.com, ebay.com, Walmart.com, Borders.com, and any other site offering a retail product to the public in the form of a virtual store. Often, B2B sites are more informational and technical. There is less branding, or at least a different kind. It is not so much an emotional connection as an intellectual connection.

B2C sites are more entertainment, direct branding machines for self promotion. They often change with promotions and products, and are made simpler for ease of navigation for the common user.
