Some actions are clearly illegal and some are clearly illegal. Likewise, some actions are clearly ethical and others are clearly unethical. Yet at times an unethical action can be legal, while an ethical action can be illegal. For entrepreneurs, such situations can represent a real dilemma, especially in an era where Brenner (2002, p. 1) asserts that ôNow that CEOs will be held personally accountable for statements they make about their organizations, we can all expect to be held to higher standards of professional ethics.ö

There are numerous opportunities of actions taken by entrepreneurs that are considered unethical but are perfectly legal. For example, an entrepreneur might be overheard on the phone by a female employee who is a single-mother. Because of the tone of the conversation, the employee becomes worried about the viability of the business. She then asks the owner if her job is secure and if the company is doing well. The entrepreneur, knowing he is doomed if he loses the employee but also knowing the business will not last six months either way, lies to the employee and assures her that everything is fine and she does not have to worry about her job. This is not illegal in any manner but it is highly unethical. It is unethical because the entrepreneur put his own interests above the interests of others in a way that will benefit him and harm others.

In other situations, actions by entrepreneurs that is highly ethical may still be regarded illegal according to civil law. For instance, an entrepreneur might employee part-time teen help under the age of eighteen. During one of their smoke-breaks, one of the sixteen-year-old girls confides to another employee that her boyfriend who is 24 years-of-age and she has sex with has started to physically abuse her. As she dissolves into tears upon the confession, the entrepreneur owner who overhead the conversation becomes distraught
